1. Introduction Welcome to Scout! These Terms & Conditions ("Terms") govern your use of our platform and services. By accessing or using Scout, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our platform.
2. Definitions
- "Platform" refers to the Scout website and any other digital services provided by Scout.
- "User" refers to anyone who accesses or uses the platform, including buyers and sellers.
- "Seller" refers to individuals or businesses that list products or services on the platform.
- "Buyer" refers to individuals or businesses that purchase products or services through the platform.
3. Eligibility
To use Scout, you must be at least 18 years old and capable of entering into a legally binding agreement. By using our platform, you represent and warrant that you meet these eligibility requirements.
4. Account Registration To access certain features of the platform, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for any activities or actions under your account.
5. Seller Models
Scout offers four dynamic and flexible seller models to accommodate different business needs:
- Stores: Sellers can showcase their products, process orders, and manage deliveries and payments.
- Showrooms: Sellers can display products and generate leads without handling direct online sales.
- Custom Shops: Sellers offering personalized or customized products can display their offerings, accept customization requests, and collect payments upfront.
- Service Providers: Sellers can list their services, allowing potential clients to contact them directly for inquiries or bookings.
6. Listings and Transactions
Sellers are responsible for providing accurate and complete information about their products or services. All transactions are directly between the buyer and seller. Scout is not a party to these transactions and does not guarantee the quality, safety, or legality of the products or services listed.
7. Payments Payments are processed through our payment service provider, MEPS. By using our platform, you agree to comply with the terms and conditions of the payment service provider.
8. User Conduct
You agree not to use the platform for any unlawful or prohibited activities, including but not limited to:
- Violating any applicable laws or regulations.
- Infringing upon or violating our intellectual property rights or the intellectual property rights of others.
- Posting any misleading, false, or inappropriate content.
- Engaging in any activity that could harm or interfere with the operation of the platform.
9. Intellectual Property
All content on the platform, including text, graphics, logos, and software, is the property of Scout or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, distribute, or create derivative works from any content without our express written permission.
10. Termination
We may terminate or suspend your account and access to the platform at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms.
11. Disclaimers and Limitation of Liability
The platform and services are provided "as is" and "as available" without any warranties of any kind, either express or implied. To the fullest extent permitted by law, Scout disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Scout, its affiliates, or its licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the platform; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the platform; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the platform by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the platform, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Scout is advised of the possibility of such damages.
12. Indemnification
You agree to defend, indemnify, and hold harmless Scout, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the platform; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.
13. Governing Law
These Terms shall be governed and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law provisions.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
